主要職責(zé)：1. 合同審核與管理1.1 主導(dǎo)運(yùn)營(yíng)相關(guān)合同（包括采購(gòu)合同、銷售合同、協(xié)議及其他必要文件）的審核、起草、修訂及標(biāo)準(zhǔn)化工作，確保合規(guī)與風(fēng)險(xiǎn)控制1.2 分析合同風(fēng)險(xiǎn)，提供全流程法律支持并出具法律意見(jiàn)書1.3 根據(jù)直線經(jīng)理或管理層要求準(zhǔn)備、修改及優(yōu)化合同模板1.4 收集整理已簽署合同，建立系統(tǒng)化歸檔機(jī)制確保便捷檢索調(diào)閱1.5 協(xié)同跨部門團(tuán)隊(duì)規(guī)范合同管理及印章（含電子印章）使用流程1.6 合同及法律文件翻譯2. 法律培訓(xùn)2.1 為業(yè)務(wù)及運(yùn)營(yíng)團(tuán)隊(duì)開展合同管理及其他法律專題培訓(xùn)以降低業(yè)務(wù)風(fēng)險(xiǎn)3. 爭(zhēng)議解決3.1 協(xié)助整理合同文件處理常規(guī)法律爭(zhēng)議，必要時(shí)協(xié)調(diào)外部律師4. 跨部門協(xié)作4.1 與采購(gòu)、合規(guī)、銷售運(yùn)營(yíng)等部門密切合作，為各層級(jí)員工提供多元化法律支持5. 其他職責(zé)5.1 追蹤法律動(dòng)態(tài)更新，開展法律分析并向管理層提示潛在風(fēng)險(xiǎn)5.2 完成直線經(jīng)理指定的其他工作任務(wù)任職要求：1. 法學(xué)本科及以上學(xué)歷，須通過(guò)國(guó)家統(tǒng)一法律職業(yè)資格考試（A證）2. 中英文流利（書面及口語(yǔ)），能雙語(yǔ)獨(dú)立完成商務(wù)合同起草審核3. 3年以上合同審核經(jīng)驗(yàn)（企業(yè)法務(wù)或律所），熟悉合同法實(shí)務(wù)4. 有1-2年在紅圈所或跨國(guó)企業(yè)的執(zhí)業(yè)經(jīng)驗(yàn)（PQE）5. 恪守職業(yè)道德，具有高度職業(yè)操守6. 優(yōu)秀的分析能力、溝通能力及跨部門協(xié)作能力7. 較強(qiáng)的組織協(xié)調(diào)及任務(wù)優(yōu)先級(jí)管理能力8. 積極主動(dòng)、注重細(xì)節(jié)、響應(yīng)迅速，責(zé)任感強(qiáng)Key Responsibilities:1. Contract Review & Management1.1 Lead reviewing, drafting, revising, and standardizing on contracts in relation to operation with a focus on procurement contracts, sales contract, distribution agreements and other relevant documents on a needed basis, to ensure compliance and risk mitigation.1.2 Analyze contractual risks, provide end-to-end legal support and deliver legal opinions.1.3 Prepare, modify or optimize template contracts as required by the line manager or other management members.1.4 Collect and organize signed contracts, ensuring systematic filing for easy retri**** and reference when needed.1.5 Cooperate to standardize contract management and chop using (incl. echop) process and workflow with cross-functional teams.1.6 Contract and legal documents translation.2. Training2.1 Deliver training sessions to the business & operational teams on contract and other relevant legal topics to mitigate business risks.3. Dispute Resolution3.1 Assist in the collection of contracts to manage some minor legal disputes or to coordinate with external counsel.4. Cross-functional Collaboration4.1 Work closely with other functions (e.g., Procurement, Compliance, Sales Operation and etc.) to provide diverse legal support needed by colleagues in all levels.5. Others5.1 Monitor Law updates, conduct legal analysis, and address risks to management team if any.5.2 Perform other responsibilities as deemed necessary by the line manager.Qualifications:1. Bachelor's degree in Law Must pass China Bar Exam and hold the Certificate (A) .2. Fluency in both written and spoken Chinese and English， Ability to draft, review, and modify commercial contracts with minimal supervision bilingually.3. 3+ years of experience in contract review (in-house legal or law firm) , familiar with Contract Law.4. 1-2 years of post-qualification experience (PQE) at reputable law firm or international corporation.5. Strong professional ethics and integrity.6. Excellent analytical, communication and cross-functional collaboration skills.7. Strong organizational skills with demonstrated ability in task prioritization.8.Proactive, detail-oriented, responsive with strong sense of accountability.
